Terms & Conditions
Please read these Terms carefully before using the Buy Collective platform. By accessing or using the Platform, you agree to be bound by these Terms.
1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the Buy Collective platform, website, and related services (collectively, the "Platform"), operated by GNLC Consulting Pty Ltd (ABN pending), trading as Buy Collective ("Buy Collective", "we", "us", "our").
By registering an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms are governed by the laws of the State of Victoria, Australia.
2. Definitions
"Industry Group" means an industry association (e.g. a GP peak body) that holds a licence agreement with Buy Collective to operate a white-label group buying programme for its members.
"Member" means a practice or individual registered under an Industry Group that uses the Platform to purchase products.
"Supplier" means a business that lists products and fulfils orders through the Platform.
"Platform Owner" means GNLC Consulting Pty Ltd, the operator of Buy Collective.
"GMV" means Gross Merchandise Value — the total dollar value of orders placed through the Platform.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts under Australian law. By using the Platform, you represent that you meet these requirements.
Members must be registered through an Industry Group that holds a current licence agreement with Buy Collective. Suppliers must have a signed supplier agreement in place before listing products.
4. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@buycollective.com.au if you suspect unauthorised access.
Buy Collective reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period.
5. Orders and Fulfilment
Orders placed through the Platform constitute an offer to purchase from the relevant Supplier. An order is accepted when the Supplier confirms fulfilment or, where automatic confirmation is enabled, when a confirmation email is issued.
Buy Collective acts as a facilitator between Members and Suppliers. Buy Collective is not the seller of record and is not responsible for Supplier failures to fulfil orders, product defects, or disputes between Members and Suppliers. Such disputes should be raised with the Supplier in the first instance, and with Buy Collective if unresolved.
6. Pricing and GST
All prices displayed to Members are the group buy price inclusive of GST (where applicable). Members do not see supplier net prices or margin breakdowns.
GST (10%) is applied in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth). Some medical devices may be GST-free under Division 38 of that Act; the applicable GST treatment is set by each Supplier and reflected in the displayed price. Tax invoices are issued for all orders attracting GST.
Buy Collective reserves the right to adjust prices in response to supplier pricing changes. Members will be notified of material price changes before their next order.
7. Fees
Buy Collective charges a platform service fee of 0.5% of GMV on each order, incorporated into the group buy price. Industry Groups are charged an industry group licence fee of 0.5% of GMV under their licence agreement. These fees are not separately itemised to Members; they are embedded in the group buy price.
Industry Groups are also subject to a monthly SaaS licence fee as agreed in their separate licence agreement. Suppliers are subject to fees as agreed in their supplier agreement.
8. Payment
Payments are processed via Monoova Pty Ltd's NPP (New Payments Platform) infrastructure. Members pay by bank transfer to a virtual account issued by Monoova. Funds are held in the platform mAccount. Disbursements to Suppliers and Industry Groups are made by NPP transfer on a 30-day settlement cycle.
By initiating payment, you authorise Buy Collective and Monoova to process the transaction in accordance with Monoova's terms of service. Buy Collective does not store full bank account details.
Credit card payments may be available for certain transactions and are processed by Stripe, Inc. Stripe's terms apply to those transactions.
9. Cancellations and Returns
Cancellation and return policies are set by individual Suppliers and will be disclosed at the time of purchase. Australian Consumer Law guarantees apply in all cases and cannot be excluded.
Where a product is faulty or not as described, Members are entitled to a remedy under the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2). Please contact the Supplier in the first instance and hello@buycollective.com.au if you need escalation support.
10. AI Invoice Analysis
The AI Invoice Savings Analyser is provided as a free, indicative tool to help practices understand potential savings. Results are estimates only and are not a guarantee of savings or product availability.
By uploading an invoice, you confirm that you have the right to share its contents and that the invoice does not contain information belonging to a third party without their consent. Invoice data is processed by Anthropic, Inc. and is not used to train AI models. We delete uploaded invoices from our systems within 90 days.
11. Intellectual Property
All intellectual property in the Platform — including software, design, trademarks, aggregated market data, demand analytics, and pricing models — is owned by or licensed to GNLC Consulting Pty Ltd and is protected by Australian and international IP laws.
You may not copy, reverse-engineer, scrape, or reproduce any part of the Platform without our prior written consent. Members and Industry Groups receive a limited, non-exclusive, non-transferable licence to use the Platform for its intended purposes only.
12. Data and Confidentiality
Aggregated demand data and market intelligence generated through the Platform remains the exclusive property of Buy Collective. Industry Groups receive access to their own industry group-level analytics only. No industry group sees another industry group's data.
Suppliers may view anonymised aggregate demand signals but not per-industry-group or per-member breakdowns.
Your personal information is handled in accordance with our Privacy Policy, which forms part of these Terms.
13. Limitation of Liability
To the maximum extent permitted by law, Buy Collective's liability to you for any loss or damage arising out of or in connection with the Platform is limited to the total fees paid by you to Buy Collective in the 12 months preceding the claim.
Buy Collective is not liable for: • Loss of profits, revenue, or business opportunity. • Indirect, incidental, or consequential losses. • Losses arising from Supplier failures, delivery delays, or product defects. • Losses arising from unauthorised access to your account where you failed to maintain credential security.
Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law.
14. Suspension and Termination
We may suspend or terminate your access to the Platform at any time if you breach these Terms, engage in conduct that is unlawful or harmful to other users, or if we are required to do so by law or a regulatory authority.
You may terminate your account at any time by contacting hello@buycollective.com.au. Termination does not affect any rights or obligations that accrued before termination.
15. Changes to These Terms
We may update these Terms from time to time. The current version will always be available at this URL. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the Platform after that date constitutes acceptance.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria.
In the event of a dispute, the parties agree to attempt resolution through good-faith negotiation before initiating legal proceedings.
